By accessing or using the Platform, users acknowledge and agree to comply with these Terms, together with the Privacy Policy, Cookie Policy, Membership and Points Terms, Refund and Cancellation Policy, and any specific terms applicable to the relevant product or service.

Unless expressly stated otherwise, Zmootz is not a hospital, healthcare facility, clinic, medical professional, or direct medical service provider and does not provide medical diagnoses, medical advice, medical treatment, or guarantees regarding health outcomes.

SECTION 2 — DEFINITIONS

“Platform” means the website, systems, digital channels, LINE Official Account, booking systems, payment systems, and other digital services operated under the Zmootz name.

“User” means any person who accesses, uses, registers with, books through, pays through, contacts, or conducts transactions through the Platform, whether or not such person is a Member.

“Member” means a User who has registered for and holds a member account on the Platform. Holding a Member account may entitle a User to access membership features, tiers, points, or benefits, subject to and in accordance with the Membership and Points Terms.

“Service Provider” or “Provider” means a hospital, clinic, health establishment, wellness centre, wellness resort, or other operator that offers or provides products or services through or in connection with Zmootz.

“Product or Service” means a programme, package, course, health service, wellness service, rehabilitation service, recovery service, or other offering made available by a Service Provider through the Platform.

“Customer” means a User who has made a Booking for, or otherwise purchased, a Product or Service through the Platform.

“Content” means any information, text, image, video, review, rating, comment, or other material that is displayed, submitted, uploaded, or otherwise made available on or through the Platform, whether by Zmootz, a Service Provider, a User, or a third party.

SECTION 3 — ELIGIBILITY AND USER ACCOUNTS

3.1 Users must be at least twenty (20) years of age, being the age of majority under the Civil and Commercial Code of Thailand, or otherwise have full legal capacity to enter into legal transactions under applicable law. A person who is a minor, incompetent person, or quasi-incompetent person may use the Platform only through, and with the consent or action of, a lawful representative, parent, guardian, or curator, as applicable and as required by law. Zmootz does not knowingly permit a person under twenty (20) years of age to register, book, or transact on the Platform directly.

3.2 Users must provide accurate, complete, and current information and must not impersonate another person, provide false information, or use the Platform for unlawful purposes.

3.3 Members are responsible for safeguarding their accounts, passwords, and login credentials and must notify Zmootz without undue delay if they become aware of or reasonably suspect unauthorised use of their accounts.

3.4 Zmootz may require verification of an email address, telephone number, identity, or other information to the extent necessary and reasonable for security, fraud prevention, transaction administration, or legal compliance.

3.5 Zmootz may refuse, restrict, suspend, or review an account where there are reasonable grounds to do so.

3.6 By using the Platform, Users confirm that they are not subject to any applicable economic or trade sanctions, and are not resident in, nor booking on behalf of a person resident in, a jurisdiction subject to comprehensive sanctions administered by a competent authority. Zmootz may screen transactions and accounts for fraud, money-laundering, and sanctions risk, and may request additional identity or payment verification, or decline, cancel, or refund a transaction, where necessary for this purpose.

SECTION 4 — SCOPE OF ZMOOTZ SERVICES

4.1 Zmootz provides a platform that assists Users in discovering, comparing, contacting, booking, paying for, and coordinating Products or Services offered by Service Providers.

4.2 Product or Service details, prices, validity periods, service eligibility or access requirements, restrictions, rescheduling conditions, cancellation conditions, and item-specific refund terms are determined and are the responsibility of the relevant Service Provider unless Zmootz expressly states otherwise.

4.3 Zmootz may review information, documentation, or qualifications of Service Providers; however, such review does not constitute a guarantee of service results, a guarantee of treatment outcomes, or an assumption by Zmootz of the Service Provider's obligations or liabilities.

4.4 Health and wellness content available on the Platform is provided for general informational purposes only. It does not constitute medical advice, diagnosis, treatment, or a substitute for consultation with a legally qualified healthcare professional.

SECTION 5 — AI Travel Assistant

Zmootz may provide an artificial-intelligence-powered conversational feature (the “AI Assistant”) that asks about your preferences, budget, health and wellness goals, and travel constraints, and uses that information to search, match, and propose products, services, or itineraries suited to you. The AI Assistant is a discovery and convenience tool only. It does not provide medical advice, treatment, or professional health guidance, and its suggestions do not constitute an endorsement, recommendation, or guarantee of suitability, safety, or outcome by Zmootz. You remain responsible for reviewing the details of each product or service, its applicable conditions, and for confirming the suitability of any health or wellness activity for yourself before booking. You may search and use the Platform manually at any time without using the AI Assistant.

SECTION 6 — ACCEPTABLE USE AND PROHIBITED CONDUCT

Users must not:

(1) use the Platform for fraud, money laundering, deception, or any unlawful activity;

(2) create false accounts, falsify identity, impersonate another person, or use another person's information without lawful authority;

(3) access, alter, damage, interfere with, or attempt to gain unauthorised access to Zmootz's systems, servers, databases, or security measures;

(4) use bots, scrapers, spiders, crawlers, or other automated tools to collect information from or use the Platform without authorisation;

(5) post, transmit, or publish unlawful, defamatory, rights-infringing, intellectual-property-infringing, obscene, threatening, harassing, hateful, or otherwise harmful Content;

(6) make Bookings with the intention of blocking appointment availability, disrupting systems, repeatedly cancelling in bad faith, or imposing an unreasonable burden on the Platform or a Service Provider;

(7) manipulate, buy, sell, falsify, or interfere with reviews, ratings, comments, or service information;

(8) use the Platform to circumvent fees, booking systems, or commercial arrangements between Zmootz and Service Providers.

SECTION 7 — BOOKINGS, PAYMENTS, AND TRANSACTION DOCUMENTATION

7.1 A Booking will be considered confirmed when the Zmootz system or another channel designated by Zmootz issues a Booking Confirmation, Order Confirmation, or other form of transaction confirmation to the Customer.

7.2 Payment for a Booking will be processed through payment channels designated by Zmootz, which may include payment service providers, banks, card issuers, or other relevant payment system providers.

7.3 Any Payment Confirmation, Order Confirmation, or Booking Confirmation issued by Zmootz is intended to confirm the status of payment or a Booking made through the Platform and does not constitute a receipt or tax invoice for the principal service provided by a Service Provider.

7.4 The relevant Service Provider is responsible for issuing a receipt, tax invoice, or evidence of payment for the principal service provided by that Service Provider to the Customer, in accordance with the Service Provider's tax status, the nature of the transaction, and applicable law.

SECTION 8 — CANCELLATION, RESCHEDULING, AND REFUNDS

Cancellations, rescheduling, failure to attend an appointment, refunds, and circumstances in which a Service Provider is unable to provide a service are governed by the Refund and Cancellation Policy for Customers and Service Users, the specific terms of the relevant Product or Service, and applicable law.

SECTION 9 — MEMBERSHIP, POINTS, AND BENEFITS

Registration for or use of a Member account is subject to the Membership and Points Terms. Holding a Member account does not automatically create an entitlement to points, accumulated spending, membership tiers, or benefits unless Zmootz expressly announces the launch or activation of the relevant system or programme.

SECTION 10 — CONTENT, REVIEWS, AND INTELLECTUAL PROPERTY

9.1 Content, software, system architecture, display formats, logos, trademarks, trade names, graphics, text, images, and other elements of the Platform are owned by Zmootz, the relevant Service Provider, or the applicable licensor. Users may not reproduce, modify, publish, distribute, sell, rent, reverse engineer, or use the Content or systems of the Platform for commercial purposes without prior written authorisation.

9.2 Users grant Zmootz permission to use, reproduce, display, publish, translate, adapt, or otherwise use Content submitted to Zmootz for the purposes of operating the Platform, displaying reviews, improving services, conducting promotional activities, or carrying on Zmootz's business, to the extent permitted by law.

SECTION 11 — PERSONAL DATA AND COOKIES

The collection, use, disclosure, transfer, retention, and protection of Users' personal data are governed by the Privacy Policy and applicable personal data protection laws. The use of cookies, tracking technologies, website analytics, and digital marketing technologies is governed by the Cookie Policy.

SECTION 12 — SUSPENSION, RESTRICTION, OR TERMINATION OF PLATFORM USE

Zmootz may suspend, restrict, review, or terminate access to an account or the Platform where there are reasonable grounds to do so, including breach of these Terms, fraud, misuse of the system, security risk, an order from a government authority, or legal compliance requirements.

SECTION 13 — DISCLAIMERS AND LIMITATION OF LIABILITY

12.1 Zmootz provides the Platform within the scope reasonably under its control and will use reasonable efforts to maintain the Platform in a secure and appropriate operating condition.

12.2 Service Providers are primarily responsible for the actual provision of their services, including service quality, suitability, safety, side effects, outcomes, limitations, licences, and compliance with laws applicable to their services.

12.3 Zmootz is not liable in place of a Service Provider for the Service Provider's acts, omissions, service quality, outcomes, or disputes arising from the actual provision of services, unless the relevant loss or damage results from Zmootz's own act or omission.

12.4 To the extent permitted by law, Zmootz will not be liable for indirect or consequential loss, loss of profits, loss of business opportunity, or damage that does not directly result from Zmootz's act or omission.

SECTION 14 — FORCE MAJEURE

Zmootz will not be considered in breach of these Terms or liable for delay or inability to perform its obligations resulting from force majeure or circumstances beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government orders or measures, widespread power outages, internet or telecommunications failures, or third-party payment system failures.

SECTION 15 — CHANGES TO THESE TERMS

Zmootz may amend, supplement, or update these Terms to reflect changes in law, business operations, technology, security requirements, or the Platform's service model. Where a change materially affects the rights or obligations of Users, Zmootz will provide notice through the Platform, email, LINE Official Account, or another appropriate channel.

SECTION 16 — COMPLAINTS AND DISPUTE RESOLUTION

Users may contact Zmootz to make enquiries, report issues, or submit complaints. Zmootz will receive the matter, conduct an initial review, and coordinate with the relevant Service Provider. The parties may attempt good-faith negotiation or mediation before commencing formal legal proceedings.

SECTION 17 — GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Nothing in these Terms is intended to exclude consumer rights, limit liability that cannot lawfully be limited, or exclude obligations that cannot lawfully be excluded.

SECTION 18 — GENERAL PROVISIONS

If any provision of these Terms is found to be void, invalid, or unenforceable under applicable law, the remaining provisions will continue in effect to the extent permitted by law. Users may not assign their rights or obligations under these Terms to another person without Zmootz's consent.

SECTION 19 — LANGUAGE

These Terms may be prepared in Thai and English. In the event of any inconsistency or discrepancy between the Thai and English versions, the Thai version will prevail for interpretation to the extent permitted by applicable law.
